Membership Terms & Conditions

These Terms and Conditions (Terms) govern the use of Waterman Workspaces (Workspace) and the purchase of a membership subscription (membership) from Waterman Business Centres (Waterman) by customers. By using the workspace, or by purchasing a membership, you agree to be bound by these Terms.Â
- Customer refers to the individual or entity that accesses the workspace or purchases the membership from Waterman.Â
- Membership refers to individual membership products sold by Waterman including Access, Part Time, Full Time, Everyday, Casual, Day Pass, Guest Passes etc. For more information on each level of access and each product, see our website or talk to our team. Â
- Workspace refers to a Waterman site, location, premises or facility.Â
- Resource Hub on Waterman Central refers to the page on the Waterman Central website that customers can login to and access information about their products. Â
- 1.1 A customer is permitted to purchase a membership from Waterman. A membership is allocated per individual. An entity that requires multiple individuals to use a workspace must purchase a membership per individual.
- 1.2 The duration of a membership subscription is defined by the membership that is purchased by the customer and the product description. The duration of a month-to-month membership is defined by calendar month. Other forms of memberships may have a different duration specified within the product description. For example, a day pass, will have a duration of one day.
 - 1.3 The customer is entitled to use of the membership within the duration specified within the paid membership subscription.
- 1.4Â Customers on a month-to-month membership subscription may initiate a pause or cancellation at any time, however, there are no refunds available for any time remaining in their billing period and generally the request will apply to the end in the current month. See below for our cancellation policy.
- 1.5Â Customers may commence utilising a workspace upon successful payment of a membership, subject to approval from Waterman.
- 1.6 Waterman may refuse a customer from purchasing a membership with Waterman, and access to a workspace, at any time, at the discretion of Waterman.
- 2.1 Customers must comply with the following Waterman Policies:  Â

- 2.2 All policies are available from the Resource Hub of Waterman Central. Alternatively, customers may request a copy of the policy from Waterman at any time.
- 2.3 A breach of any of the above policies may result in an immediate termination of the customers’ access to any Waterman Workspace and is at the sole discretion of Waterman.  
Â
- 3.1 One access pass is included with each membership.
- 3.2 Each membership must be allocated to an individual user.
- 3.3 Each customer must have an individual who will serve as the primary contact for Waterman.
- 3.4 Each Access Pass is permitted to allow only 1 user into the centre. If a customer swipes their Access Pass into a workspace to enter more than once consecutively, the member will be billed for a guest pass. Guest QR codes can also be created in Waterman Central and used to grant entry for your guest. You will only be charged once the guest enters the Workspace.Â
- 3.5 Sharing access passes may result in immediate cancellation of the customer’s membership, at the sole discretion of Waterman, without refund.

- 3.6 Spare passes are not permitted.

- 3.7 All members will receive the first hour of access, each day, for free. After this, members will incur Usage Fees at the rates published on the Waterman website. 
  - 3.8 Access Passes allow entry to Waterman centres according to the Site Access Policy (located on the Resource Hub in Waterman Central).

- 3.9Â Your time-in-centre commences upon your first entry to a workspace for that day regardless of time of day and ends upon your last exit from a workspace for that day.
Â
- 3.10 A day is defined as from midnight to the next midnight.
Â
- 3.11 Customers must exit the workspace by swiping their access pass through the turnstile. Failure to do so will result in the maximum day fee charged.
Â
- 3.12 In the event that an individual is recorded in the Waterman system as accessing a workspace more than once without exiting, this will be counted as multiple users entering a workspace and therefore may incur additional fees.
Â
- 3.13 Forced entry or attempting to bypass the turnstiles to gain entry into Waterman member areas (anywhere beyond the turnstiles) may result in cancellation of membership and members will be billed for their time in the centre.
Â
- 3.14 Guests of members must always be supervised. Members are liable for any damages or incidentals caused by their guests during their visit to Waterman.  Â
Loan PassesÂ
- 4.1 Waterman may issue a temporary access pass to a customer. If the pass is not returned by COB same day a lost access pass fee will apply.  Â
Lost, misplaced or broken passes  
Customers are liable for: Â
- 4.2 Access passes lost, stolen or not returned to Waterman. Â
- 4.3 Members are responsible for all activity conducted with their pass until it is reported as lost.
Transferring Passes   Â
- 4.4 An access pass can be transferred from one individual to another individual under the same company. Additional fees may apply.Â
- 4.5 Businesses may transfer one per pass per month.Â
- 4.6 Transfer of access passes from one entity to another entity is not permitted. Â
- 4.7 The primary account holder is responsible for all activity conducted with all access passes on the account.  Â
- 5.1Â Members are permitted to access all common spaces within a workspace , which includes Waterman lounges, kitchens and break out spaces. Members are not required to book these spaces.
- 5.2 Parking offers differs at each Waterman location – refer to our Site Access Policy for details at each location.Â
- 5.2.1 Waterman does not control the carparks in the area or in the buildings it operates in, customers must adhere to all parking signs and restrictions enforced by the carpark owners.Â
- 5.2.2 Waterman is not responsible for any fees or charges or fines incurred in carparks operated by others, and we are not able to have any costs cancelled on your behalf.Â
- 5.2.3 You must register your licence plate with Waterman in order to access Waterman member rates at some locations.
- 5.2.1 Waterman does not control the carparks in the area or in the buildings it operates in, customers must adhere to all parking signs and restrictions enforced by the carpark owners.Â
- 5.3 Members may not broadcast a Wifi signal without permission from Waterman.Â
- 6.1 Mailbox  and Business Address
- 6.1.1 Waterman is not responsible for third party directory listing such as Google, Yahoo or Bing accepting or denying use of a member’s mailbox as a primary business address on their directory.
- 6.1.2 A Mailbox must be purchased in order to receive mail at the workspace of your choice. All mail addressed to a member without the inclusion of a mailbox will be rejected by our front of house team. Â
- 6.1.3 Mailboxes at the workspace of your choice are subject to availability and Waterman reserves the right to reject a customer’s order at it’s discretion.
- 6.1.1 Waterman is not responsible for third party directory listing such as Google, Yahoo or Bing accepting or denying use of a member’s mailbox as a primary business address on their directory.
- 6.2.1 Credit inclusionsÂ
- Where credits are included in membership products:Â
- 6.2.1.1 Unused credits will not roll over in to the next month, they will expire, and the new credits will be applied.Â
- 6.2.1.2 Credits which are issued as a refund are non-expiring and will roll over to the next month if unused.  Â
- 6.2.1.3Â If you are a member for part of a month, your Included Usage Credit will be pro-rated to that same time period of that month.Â
- 6.2.1.4 Usage Credit can be applied to both Day rates for time spent inside the Members area of a Waterman site (usually for hotdesking) and Meeting room fees and chargesÂ
- 6.2.1.1 Unused credits will not roll over in to the next month, they will expire, and the new credits will be applied.Â
- Where credits are included in membership products:Â
- 7.1Â All customers must make payment to Waterman utilising bank account and credit card services from an authorised deposit taking institution in Australia, licensed by the
Australian Prudential Regulatory Authority. - 7.2 All prices are quoted in Australian Dollars. Prices may be subject to change without notice. Unless otherwise stated, the prices displayed exclude Goods and Services Tax (GST), unless stated including GST.Â
- 7.3 Public holidays that fall between Monday to Friday are billed the same as a non-public holiday.
- 7.4 Day Rate Billing:
- 7.4.1 PAYG day rates and credit rates default to the lowest rate(s) as defined by the active products belonging to the contact on the account.  Â
-    7.4.2 Daily billing is calculated per calendar day from 12am to 11:59pm. On the commencement of a new calendar day the billing systems will start a new day’s billing.Â
- 7.4.3 The hourly rate will be calculated from the first time of entry in any site until last time of exit in any site on that day. If the sites have different PAYG day rates, the billed PAYG rate will be the highest rate of the visited sites. Â
- 7.4.4Â If a user accesses more than one site on the same billing day, the above billing calculation will be applicable.
- 7.4.1 PAYG day rates and credit rates default to the lowest rate(s) as defined by the active products belonging to the contact on the account.  Â
- 7.5 Payment Methods. Memberships may be purchased using a credit card only.
- 7.6 Charges on all booked meeting rooms will be added to your monthly bill, and if your product includes Usage Credit, will be deducted from that balance. Additional usage is charged as extra cost on top of your next months fee.Â
- 7.7 Fee Structure:
- 7.7.1 Waterman Memberships are billed monthly and there are three main components:Â
- 7.7.1.1 Your monthly fee for your primary productÂ
- 7.7.1.2 Any add-on servicesÂ
- 7.7.1.3 Any ad-hoc usage charges over and above your included usage credit incurred in the previous month. This can include:Â
- 7.7.1.3.1Â Additional days, half days, or long days within the members coworking areaÂ
- 7.7.1.3.2Â Additional meeting room bookingsÂ
- 7.7.1.3.3 Printing feesÂ
- 7.7.1.3.4Â Any penalties or additional service feesÂ
- 7.7.1.3.4
- Guest pass fees
- 7.7.1 Waterman Memberships are billed monthly and there are three main components:Â

- 7.7.2 The customer’s membership will automatically renew each month without notice until the customer cancels the membership. By accepting the terms and conditions, the customer authorises Waterman to debit from the customer:  Â
- The cost of your monthly membership plus any taxes (GST) & card fees.  Â
- Any additional products and services purchased during your billing month, additional meeting room bookings, printing that you may have added to your monthly billing.Â
- Any once off fees or charges for cleaning or damages done to Waterman Workspaces property as a result of your or any guests’ actions whilst in any workspace.  You will be notified of any charges made to your account that are of this nature.Â
- You will be notified of any changes made to your account that are of this nature. Any recurring charges will be debited from your account until you cancel your membership through returning your pass to our reception team or paying the fee for a lost pass. Â

- 7.7.3 If your initial payment is revoked, your membership will be terminated. We reserve the right to reject your membership at any time.

- 8.1 Pausing Membership:Â
- 8.1.1Â Members are welcome to pause their membership for a maximum of 3 months in a 12 month period. This is provided that no additional services such as a mailbox or a phone number are added to the account. If this is the case, please speak to your sales consultant to discuss a solution that will best fit the needs of your business.Â
- 8.1.2 Customers will still be liable for ongoing fees for additional Waterman services, such as mailbox or phone numbers, despite pausing a membership, unless agreed to in writing with Waterman.
- 8.2 Cancellations:
- 8.2.1 Customers must notify Waterman in writing to cancel membership or any other Waterman service. A customer’s cancellation notification must be made 3 business days prior to the next period’s billing start date. Any cancellation notification less than 3 days prior to the next billing period may result in an additional monthly subscription expense on the customer.Â
- 8.2.2 Waterman reserves the right to cancel any customer’s membership at any time for failure to comply with any Waterman policies.  The customer will not be entitled to any pro-rata refund and additional cancellations fees may apply.Â
 - 8.2.3 Any Waterman credits or future meeting room bookings owned by the customer will be forfeited upon cancellation of the membership. Â
- 8.2.4 Please contact our Service Team to cancel your membership. Â
- 8.2.5 Upon membership cancellation, Waterman requires customers to remove all workspace details from all of the customer’s business material no later than 30 calendar days.  Waterman reserves the right to continue billing the customer for membership and other Waterman services until the references to Waterman workspace details are removed from the customer’s business material.Â
- 8.2.6 Upon cancellation, customers must return their access pass to Waterman on the same day to avoid incurring additional fees.  Â
- 8.2.7 Customers must repay all other outstanding balances owed to Waterman on the same day as cancellation. Â
- 8.1 Pausing Membership:Â
- 8.3 Refunds
- 8.3.1 Customers are not entitled to a refund for change of mind or for any other reasons other than what is permissible under Australian Consumer Law.
- 8.4.1 All contract terms and cancellation fees for additional products are applicable upon termination of the membership. A member must maintain an active membership to access their service. Â
8.4 Additional Service Cancellations: - 8.4.2 Please note that business boosts where the minimum contract term has been met can be cancelled during the month, however, will be charged to the end of that month. 
- 8.3.1 Customers are not entitled to a refund for change of mind or for any other reasons other than what is permissible under Australian Consumer Law.
- 9.1 You shall not be permitted to:Â
- 9.1.1 Use the Workspace in a retail, medical (including any testing for diseases), or other capacity involving frequent visits by members of the public, as a residential or living space, or for any exclusively non-business purpose, Â
- 9.1.2 Sell, manufacture or distribute any controlled substance, including alcoholic beverages, from the Workspace,Â
- 9.1.3 Use the Workspace to conduct or pursue any illegal or offensive activities, or Â
- 9.1.4 Store significant amounts of currency or other valuable goods or commodities in the Workspace that are not commonly kept in commercial offices, and Waterman Workspaces shall not be responsible for any loss thereof. Â
- 9.1.5 You may not use any part of the Workspace to host an event. Â
- 9.1.6 Additionally, you shall not be permitted to film within the Workspace, without receiving express written consent from Waterman. Â
- 9.1.1 Use the Workspace in a retail, medical (including any testing for diseases), or other capacity involving frequent visits by members of the public, as a residential or living space, or for any exclusively non-business purpose, Â
Â
- 10.1 The customer agrees and acknowledges that:Â Â
- 10.1.1 Waterman Workspaces, or anyone acting on behalf of Waterman, has not made any representation or warranty as to the suitability or adequacy of the product, the Services or the Furniture and Equipment; and Â
- 10.1.2 It occupies the product and uses the Services and the Furniture and Equipment at its sole risk.  Â
- 10.1.1 Waterman Workspaces, or anyone acting on behalf of Waterman, has not made any representation or warranty as to the suitability or adequacy of the product, the Services or the Furniture and Equipment; and Â
Â
- 11.1 Indemnity   Â
- 11.1.1 The customer indemnifies Waterman, and each person claiming through The Waterman Group, against any liability or loss arising from, and costs incurred in connection with: Â
- 11.1.1.1 The customer’s act or omission or that of its employees, contractors, agents, customers or visitors; Â
- 11.1.1.2 A breach of this Agreement. The customer must pay or reimburse Waterman all costs (including solicitors’ costs on an indemnity basis) incurred by Waterman by reason of the customer’s breach of the terms. The customer is required to always maintain appropriate public liability and property damage cover. The customer is required to provide a certificate to verify this cover.  Â
- 11.1.1 The customer indemnifies Waterman, and each person claiming through The Waterman Group, against any liability or loss arising from, and costs incurred in connection with: Â
- 11.2 Limitation of Liability  Â
- 11.2.1 To the maximum extent allowed by law, the combined financial responsibility of Waterman towards you, your employees, agents, guests, and invitees, for any reason and in all legal claims, including contract breaches, torts, statutory duty violations, or other legal or fair principles, will not surpass the total amount you paid to us for the specific product or service that caused the claim within the twelve (12) months prior to the claim arising. This limitation does not apply in cases where (x) Waterman engages in gross negligence, wilful misconduct, or fraud, or (y) any Waterman Workspaces Party is negligent and causes bodily injury. Under no circumstances will any of the Waterman be held liable for indirect, special, incidental, consequential, reliance, or punitive damages, including loss of profits or business interruption, or for the cost of any substitute goods, services, or technology. You acknowledge and agree, on your behalf, that you cannot initiate legal action against any of the Waterman Workspaces Parties, whether in contract, tort, breach of statutory duty, or other legal or equitable theory, unless the action, lawsuit, or proceeding is initiated within one (1) year of the cause of action’s occurrence. Furthermore, you agree not to initiate any action or proceeding against any person or entity other than the relevant Waterman entity for amounts owed or the fulfillment of any obligations related to these terms.  Â

- 11.3 Events  Â
- 11.3.1 Waterman will not be liable for, and will not be considered in default or breach of these terms in account of, any delay or failure to perform arising out of or caused by, directly or indirectly, forces that are beyond Waterman’s reasonable control, including, without limitation, any delays or changes in construction of, or Waterman’s ability to procure any space in, any premises; any conditions under the control of our landlord at the applicable workspace; acts of God; epidemics or pandemics; or public health emergencies.  Â
- 11.3.1 Waterman will not be liable for, and will not be considered in default or breach of these terms in account of, any delay or failure to perform arising out of or caused by, directly or indirectly, forces that are beyond Waterman’s reasonable control, including, without limitation, any delays or changes in construction of, or Waterman’s ability to procure any space in, any premises; any conditions under the control of our landlord at the applicable workspace; acts of God; epidemics or pandemics; or public health emergencies.  Â
- 11.4 Insurance   Â
- 11.4.1 You are responsible for maintaining, at your own expense and at all times during this agreement, insurance in the form and amount appropriate to your business. Â
- 11.5 Fair Play  Â
- 11.5.1 All members are subject to Waterman’s Fair Play policy, which relates to usage of all areas of any Waterman Workspaces.  Â

- 12.1 Waterman reserves the right to make amendments of changes to the membership product and these terms at our sole discretion.Â
- 12.2 Waterman will notify customers of material changes to the terms, which will be published online, or communicated directly to customers.Â
If any provision of these terms is found to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall continue to be in full force and effect. Â
These terms are governed by the laws of Victoria, Australia, and you agree to submit to the non-exclusive jurisdiction of the courts in that state or territory.Â
